By accessing or using the Service you agree to be bound by these Terms and by our Disclaimer and Refund Policy. If you do not agree, do not use the Service.

You must be at least 18 years old, have full legal capacity to enter into a contract, and not be barred from using the Service under any applicable law or sanctions list.

The Company provides impersonal software tools, visual components, research content, datasets, and technical analysis of data you submit. The Service expressly excludes: investment advice, personalized recommendations, managed or discretionary trading, custody of funds, brokerage, and securities underwriting.

本公司提供非个性化的软件工具、可视化组件、研究内容、数据集，以及对用户自行提交数据的技术分析服务。本服务明确不包括：投资建议、个性化荐仓、账户代操或托管执行、资金保管、经纪或证券承销。

Purchases, renewals, license delivery, and private tickets are handled through Whop and are subject to Whop's own terms. Subscriptions renew automatically for the selected period until you cancel in Whop. Prices are denominated in USD and may change.

购买、订阅续费、许可发放与私密工单均通过 Whop 完成，并受 Whop 自身条款约束。订阅会按所选周期自动续费，直至你在 Whop 取消。价格以美元（USD）计价，并可能调整。

Subject to your compliance and payment, the Company grants you a limited, non-exclusive, non-transferable, revocable license for your own personal or single-entity internal use. You may not resell, redistribute, rent, or publicly disseminate data feeds, nor reverse engineer, circumvent licensing, or share accounts.

在你遵守本条款并完成付费的前提下，本公司授予你有限、非独占、不可转让、可撤销的许可，仅供你个人或你所在单一实体内部使用。你不得转售、再分发、出租或公开传播数据源，不得逆向工程、规避授权机制或共享账户。

When submitting data for Strategy Diagnosis, you must upload sanitized data only, excluding source code, account credentials, API keys, or sensitive personal information. You represent and warrant that you have the lawful right to submit such data. You grant the Company a limited license to process the data solely to provide the Service; data is destroyed within 7 business days after delivery unless otherwise required by law.

提交策略诊断数据时，你须仅上传脱敏数据，不得包含源代码、账户凭证、API 密钥或敏感个人信息。你声明并保证你拥有提交该等数据的合法权利。你授予本公司为提供服务所需而处理该数据的有限许可；除非法律另有要求，数据将在交付后 7 个工作日内销毁。

You may not use the Service for any unlawful purpose, market manipulation, infringement of others' intellectual property, or any activity that interferes with or disrupts the Service.

你不得将本服务用于任何违法目的、市场操纵、侵犯他人知识产权，或干扰、破坏本服务正常运行的行为。

All intellectual property in the Service, including software, components, research content, trademarks, and report templates, is owned by the Company or its licensors. Except for the license expressly granted, you acquire no rights.

本服务及其全部软件、组件、研究内容、商标与报告模板的知识产权，归本公司或其许可方所有。除本条款明确授予的许可外，你不获得任何权利。

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. See our Disclaimer for further detail.

To the maximum extent permitted by law, the Company is not liable for any indirect, incidental, special, or consequential damages (including trading losses, lost profits, or data loss); the Company's aggregate liability is capped at the total fees you paid to the Company in the 12 months preceding the event giving rise to the claim.

You agree to indemnify and hold the Company harmless from any third-party claims arising out of your breach of these Terms or your misuse of the Service.

You may stop using the Service and cancel your subscription in Whop at any time. The Company may suspend or terminate your access immediately upon breach. Provisions that by their nature should survive will survive termination.

你可随时停止使用并在 Whop 取消订阅。若你违反本条款，本公司可立即暂停或终止你的访问。依其性质应继续有效的条款，在终止后仍然有效。

The Company may update these Terms from time to time; updates are posted on this page with a revised “Last updated” date. Your continued use after an update constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, USA (excluding its conflict-of-laws rules). Disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Delaware; this does not affect any non-waivable rights granted to you by mandatory consumer-protection law.

本条款受美国特拉华州法律管辖（不含其冲突法规则）。因本条款引起的争议应提交位于特拉华州的有管辖权法院专属管辖；但这不影响任何强制性消费者保护法赋予你的不可放弃的权利。
